End-User License Agreement

This End-User License Agreement (“Agreement”) governs the use of the enterprise resource planning system, customer portal, software applications, integrations, and related digital services operated by DSL Electronics Inc. (“DSL Electronics,” “we,” “us,” or “our”).
1. Purpose
Our systems are designed to support DSL Electronics’ business operations and provide authorized users with access to certain services and information.
Depending on the features available, our systems may support functions such as:
- customer account management;
- work orders and service records;
- quotations and invoices;
- payment and transaction information;
- product and service information;
- shipping and order information;
- customer communications;
- accounting and administrative processes;
- integrations with third-party business services.
Some features may exchange information with third-party platforms, including accounting, payment, shipping, communication, or other business systems.
2. Authorized Use
Access to our systems is limited to authorized users.
Users agree to use the systems only for lawful and legitimate business purposes and only to access information they are authorized to view or manage.
Users must not:
- attempt to gain unauthorized access to any system or account;
- interfere with the operation or security of our systems;
- introduce malicious code or harmful software;
- copy, reproduce, distribute, sublicense, or resell the software without authorization;
- use the systems for fraudulent or unlawful purposes.
3. User Accounts
Certain services may require a user account.
Users are responsible for maintaining the confidentiality of their login credentials and for activities performed through their accounts.
Users must promptly notify DSL Electronics if they believe that their account or credentials have been compromised.
4. Third-Party Services
Our ERP, customer portal, or related systems may integrate with third-party services.
These services may include accounting platforms, payment processors, shipping providers, communication services, cloud services, or other business applications.
Use of third-party services may also be subject to the terms, policies, and availability of those providers.
DSL Electronics does not control and cannot guarantee the uninterrupted availability or operation of third-party services.
5. Data and Synchronization
Our systems may exchange, synchronize, or process information between DSL Electronics and authorized third-party services.
Users are responsible for reviewing important business, accounting, payment, shipping, and transaction information for accuracy.
While we take reasonable steps to maintain reliable systems, we do not guarantee that every synchronization, transmission, or automated process will occur without delay or error.
6. Intellectual Property
Unless otherwise stated, the ERP system, customer portal, software, workflows, interfaces, documentation, designs, and related materials are owned by DSL Electronics Inc. or its licensors.
No ownership rights are transferred to users under this Agreement.
7. Security
Users must not attempt to bypass, disable, interfere with, or test security controls without authorization.
DSL Electronics may restrict or suspend access where necessary to protect its systems, information, users, customers, or business operations.
8. Availability and Modifications
DSL Electronics may modify, update, maintain, suspend, or discontinue any part of its systems or services where reasonably necessary for business, technical, security, regulatory, or operational purposes.
Temporary interruptions may occur due to maintenance, updates, third-party services, network conditions, or circumstances outside our reasonable control.
9. Disclaimer
To the extent permitted by applicable law, our systems and digital services are provided on an “as available” basis.
DSL Electronics does not guarantee uninterrupted or error-free operation or continued compatibility with every third-party service.
10. Limitation of Liability
To the maximum extent permitted by applicable law, DSL Electronics Inc. will not be liable for indirect, incidental, special, consequential, or similar damages resulting from the use or inability to use our systems or from interruptions or errors caused by third-party services.
Nothing in this Agreement limits any rights or remedies that cannot legally be excluded or limited.
11. Suspension or Termination
DSL Electronics may suspend or terminate access where:
- a user violates this Agreement;
- access creates a security or operational risk;
- unauthorized activity is suspected;
- continued access is no longer required or permitted.
12. Changes to This Agreement
We may update this Agreement periodically to reflect changes to our systems, services, business practices, legal requirements, or third-party integrations.
The current version will be made available on our website.
13. Governing Law
This Agreement is governed by the laws of the Province of Quebec and the applicable federal laws of Canada.
